Software License

Introduction

This Software License Agreement ("License") governs the use of any software, tools, scripts, integrations, or custom development deliverables ("Software") provided by Advontier as part of our service engagements.

1. License Grant

Subject to the terms of this License and payment of applicable fees, Advontier grants you a non-exclusive, non-transferable license to:

  • Use the Software for your internal business operations
  • Make copies solely for backup and archival purposes
  • Modify the Software for your own use (where source code is provided)

This license does not include the right to sublicense, distribute, or sell the Software to third parties.

2. Ownership and Intellectual Property

Unless otherwise agreed in writing, Advontier retains all intellectual property rights in:

  • Proprietary methodologies and frameworks
  • Reusable components and libraries
  • Templates and standard configurations

Custom work specifically created for you as part of a paid engagement may be assigned to you upon full payment, as specified in your service agreement.

3. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software to provide services to third parties
  • Transfer or assign your license without written consent
  • Use the Software in violation of applicable laws

4. Support and Maintenance

Support and maintenance services are provided as specified in your service agreement. Standard support may include:

  • Documentation and user guides
  • Email-based technical support
  • Updates and improvements (where applicable)

Extended support packages are available upon request.

5. Warranty

Advontier warrants that the Software will perform substantially as described in the applicable documentation for a period of 90 days from delivery. Our sole obligation for breach of this warranty is to correct the non-conforming Software or provide a reasonable workaround.

THE SOFTWARE IS OTHERWISE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

6. Limitation of Liability

To the maximum extent permitted by law, Advontier shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Software. Our total liability shall not exceed the fees paid for the Software.

7. Termination

This License terminates automatically if you breach any of its terms. Upon termination, you must:

  • Cease all use of the Software
  • Destroy all copies in your possession
  • Certify destruction upon request

Licenses for fully paid custom work survive termination of services.

8. Third-Party Components

The Software may include third-party components subject to their own license terms. You agree to comply with all such third-party licenses. We will identify significant third-party components in the documentation.

9. Export Compliance

You agree to comply with all applicable export laws and regulations. You shall not export or re-export the Software to any country, entity, or person prohibited by law.

10. Amendments

This License may only be amended in writing signed by both parties. General updates to this license document on our website do not affect existing license grants.
